Terms of Service


All rights not expressly granted above are retained by the Designer. Any use additional to that expressly granted above requires arrangement for payment of a separate fee.


Revisions may be made only by the Designer at the Preliminary Design phase. Additional fees will be charged for
revisions made after 4 preliminary design revisions, and for additions to project scope.


Upfront fee upon project commencement, remaining upon project completion.


Payment is due 5 days from the issuance of the invoice. A one and one half (1.5%) monthly service charge will be billed against late payments. Grant of copyright is conditioned upon receipt of final payment, and upon Client’s compliance with the terms of this agreement.


Emmanuel Eluwa will require one point of contact during the Contract for clarifying requirements for design, key features, usability, and maintenance issues. Emmanuel Eluwa requires this person be available to answer questions arising from the project within 24 hours on workdays (subject to reasonable exceptions), and to have authority to make design and related decisions on the system.


I will provide patches and bug fixes for any bugs or issues included in the scope of this contract reported within the grace period of no more than 30 days following the date of project completion as defined by the date the client signs off on the deliverables. All bug fixes outside of the project scope or after the grace period are the responsibility of the
client. Hourly projects are NOT subject to warranty. Design and the placement, editing, and arrangement of editorial content are NOT subject to warranty. Should further support be necessary, a support contract may be negotiated.


While Emmanuel Eluwa strives to meet the set timelines, delays in content from the Client or similar delays will result in longer timelines Please be advised TIMELINE may be anywhere from a few weeks to a few months away depending on my current workload. A new website (or a redesign) can take 1 to 4 months. Everything is dependent on the scope and complexity of your project as well as your own response time.


Nothing in this agreement shall operate to exclude or limit either party’s liability for any breach of the terms implied by [APPROPRIATE LEGISLATION INAPPLICABLE JURISDICTION]; or any other liability which cannot be excluded or limited under applicable law. Neither party shall be liable to the other for any loss of profit, anticipated profits, revenues, anticipated savings, goodwill, or business opportunity, or for any indirect or consequential loss or damage.


In the event of Cancellation, the Designer will be compensated for services performed through the date of cancelation in the amount of a prorated portion of the fees due. Upon cancellation, all rights to the website revert to the Designer, and all original art must be returned, including sketches, comps, or other preliminary materials.


A credit line suitable to the design of the pages will be used. The client agrees to pay an additional fifty percent (50%) of the total fee, excluding expenses, for failure to include a credit line. The designer reserves the right to include screenshots of the completed work in his portfolio.
